Software License Agreement

This agreement governs your use of software published by Beatppl Inc. under the Modbap and Modbap Modular brands ("the Software").

By installing, registering, or using the Software, you accept these terms. If you do not accept them, do not install or use the Software.

In this agreement, "you" means the individual or organization that acquired the license.

1. Grant of license

Beatppl Inc. grants you a perpetual, worldwide, non-exclusive license to install and use the Software, subject to these terms.

The license is granted for the specific products you have purchased or been issued. It does not extend to other Modbap products, whether released before or after your purchase.

2. Installation and use

You may install and use the Software on any number of computers that you own or control, provided you are the person using it. There is no activation limit and no restriction on simultaneous use across your own systems.

A license is granted to one person or one organization. It is not a site license, and it does not permit shared use by multiple individuals in an organization unless a license has been acquired for each of them.

3. Commercial use

Commercial use is permitted without restriction. Material produced with the Software may be released, distributed, sold, licensed, performed, and used in client, broadcast, film, and game work. No royalty, revenue share, credit, reporting, or notification is required.

4. Restrictions

You may not:

copy, distribute, upload, or make the Software available to others, whether or not for payment;
share, publish, or transmit your license file, license key, or account credentials;
rent, lease, lend, or provide the Software as a service to third parties;
reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
remove, alter, or obscure any copyright, trademark, or attribution notice;
circumvent, disable, or interfere with any licensing or registration mechanism.

5. Registration, keys, and license files

Products are registered to a Modbap account at hub.modbap.com. A license key may be redeemed once, by one account. Redemption permanently associates that license with that account.

Your license file is issued to you and reflects the products your account held at the time it was generated. It identifies you by name and email address. Acquiring additional products requires downloading an updated license file; existing files remain valid for the products they already cover.

Licenses are personal and are not transferable. A license cannot be moved to another account, sold or given to another person, or conveyed with the sale of a computer, a studio, or other equipment.

6. Ownership

The Software is licensed, not sold. Beatppl Inc. and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. This agreement grants you no rights in Beatppl Inc. trademarks, trade names, or branding.

Content you create using the Software is yours. Beatppl Inc. claims no rights in it.

7. NFR licenses

An NFR license ("not for resale") is a license issued at no charge — to artists, reviewers, retail and distribution partners, event participants, and contest recipients. The following applies to every NFR license, regardless of how it was obtained or who redeemed it.

Scope. An NFR license unlocks the complete version of the product. It is not a trial, demo, or evaluation copy. It carries no expiry date, no disabled or reduced functionality, no watermark, and no usage reminders. It does not cease to function.

Permitted use. Commercial use is permitted on the same terms as section 3.

Resale prohibited. An NFR license may not be sold, resold, traded, auctioned, or exchanged for money or other consideration. This applies both to a redeemed license and to an unredeemed NFR key. Where a key was issued for distribution — a contest prize, an event giveaway, a partner allocation — passing it on without consideration is permitted and intended.

Redemption and binding. An NFR key may be redeemed once, by one Modbap account. Redemption permanently binds the license to that account, on the same terms as section 5.

No promotional obligation. An NFR license creates no obligation to promote, review, endorse, publicise, or mention Beatppl Inc., Modbap, or the licensed product, and is not conditioned on any such activity.

Products covered. An NFR license applies to the specific product for which it was issued. It confers no entitlement to other products, to future releases, or to additional licenses, and does not constitute a standing arrangement.

Except as stated in this section, an NFR license is governed by every other term of this agreement, identically to a purchased license.

8. Updates

Updates and maintenance releases for a licensed product are provided at Beatppl Inc.'s discretion and are covered by your existing license. Beatppl Inc. does not commit to any release schedule, and may discontinue a product at any time. Discontinuation does not revoke your license or disable software already installed.

9. Support

Support is provided through the Modbap Hub at hub.modbap.com and requires a Modbap account. Support is not offered by email. Support for a product is available while that product is supported by Beatppl Inc., and is provided on the same terms for purchased and NFR licenses.

10. Term and termination

This license is perpetual and has no expiry date.

You may end it at any time by uninstalling the Software and destroying your copies. Beatppl Inc. may terminate this license if you materially breach it, in particular the restrictions in section 4. On termination you must stop using the Software and remove it from your systems.

11. Third-party components

The Software includes third-party components licensed under their own terms. Those notices are distributed with the Software and apply to the components they cover. Nothing in this agreement limits any right granted to you under an applicable open-source license.

12. Disclaimer of warranties

The Software is provided "as is" and "as available," without warranty of any kind. To the maximum extent permitted by law, Beatppl Inc. disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Beatppl Inc. does not warrant that the Software will be uninterrupted or error-free, that it will operate with any particular host application, operating system, or hardware, or that defects will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

13. Limitation of liability

To the maximum extent permitted by law, Beatppl Inc. will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of or relating to the Software or this agreement, whether in contract, tort, or otherwise, and whether or not Beatppl Inc. has been advised of the possibility of such damages.

The total liability of Beatppl Inc. arising out of or relating to the Software or this agreement will not exceed the amount you paid for the license giving rise to the claim, or twenty-five US dollars, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

14. Governing law

This agreement is governed by the laws of the State of California, excluding its conflict of law rules. The state and federal courts located in Los Angeles County, California have exclusive jurisdiction over any dispute arising out of or relating to this agreement, and you consent to that jurisdiction.

15. General

If any provision of this agreement is held unenforceable, the remaining provisions remain in effect. A failure to enforce any provision is not a waiver of it. This agreement is the entire agreement between you and Beatppl Inc. regarding the Software, and supersedes any prior understanding regarding it.

Beatppl Inc. may revise this agreement. Revisions apply to use of the Software after the revised version is published. Your license to products already acquired is not revoked by a revision.
